These terms govern your use of Cyperi's platform and services. By using Cyperi, you agree to these terms.

Plain English summary:Cyperi provides AI-powered accounting practice management software. You own your data. We charge per user per month. AI drafts are your responsibility to review. Our e-signatures are legally valid in New Zealand. We're governed by NZ law.

1. Definitions

In these Terms & Conditions:

  • "Cyperi", "we", "us" means Cyperi Limited, a company incorporated in New Zealand.
  • "Platform" means the Cyperi software application, website, and related services accessible at cyperi.com.
  • "Subscriber" or "you" means the accounting firm or individual who has registered for a Cyperi account.
  • "End client" means your clients — the individuals or businesses whose data you manage using Cyperi.
  • "User" means any person authorised by a Subscriber to access the Platform.
  • "AI features" means any functionality powered by artificial intelligence including but not limited to email drafting, document summarisation, financial statement preparation, and tax return assistance.

2. The Cyperi service

Cyperi provides a cloud-based platform designed to assist New Zealand accounting firms with:

  • Client communication management and AI-assisted email drafting
  • Electronic document signing and management
  • Financial statement preparation assistance
  • Tax return preparation assistance
  • Staff and job workflow management
  • Invoicing and payment collection

We reserve the right to modify, update, or discontinue any feature of the Platform with reasonable notice to Subscribers. We will endeavour to provide at least 30 days' notice of any material changes.

3. Accounts and access

Registration

To use Cyperi you must register for an account, provide accurate information, and maintain the security of your login credentials. You are responsible for all activity that occurs under your account.

Authorised users

You may add users to your account up to the limit of your subscription plan. Each user must be an employee or authorised contractor of your firm. You are responsible for ensuring all users comply with these Terms.

Security

You must notify us immediately at hello@cyperi.com if you become aware of any unauthorised access to your account or any security breach.

4. Payment and billing

Subscription fees

Cyperi charges subscription fees on a per-user-per-month basis according to the pricing plan you select. All prices are in New Zealand Dollars (NZD) and are exclusive of GST unless otherwise stated.

Billing

Fees are billed monthly in advance. Payment is processed via Stripe. By providing payment details you authorise us to charge your nominated payment method on a recurring monthly basis.

Free trial

Where a free trial is offered, no payment is required during the trial period. At the end of the trial, your account will automatically convert to a paid plan unless you cancel before the trial ends.

Refunds

Subscription fees are non-refundable except where required by the Consumer Guarantees Act 1993 or Fair Trading Act 1986. If you cancel your subscription, you will retain access until the end of your current billing period.

Price changes

We reserve the right to change our pricing with 30 days' written notice. Continued use after the notice period constitutes acceptance of the new pricing.

5. Your data and privacy

Data ownership

You own your data. All data you upload, import, or create in Cyperi remains your property. We do not claim ownership of your client data, financial data, or documents.

Data use

We use your data only to provide the Platform services to you. We do not sell your data to third parties. We may use aggregated, anonymised data to improve our services.

Privacy Act compliance

We comply with the Privacy Act 2020 (New Zealand). Our full Privacy Policy describes how we collect, use, and protect your information. By using Cyperi you consent to our collection and use of information as described in our Privacy Policy.

Data security

We take reasonable technical and organisational measures to protect your data including encryption in transit and at rest. However, no system is completely secure and we cannot guarantee absolute security.

Data export and deletion

You may export your data at any time. Upon termination of your account, we will retain your data for 30 days after which it will be permanently deleted, unless we are required to retain it by law.

6. AI-generated content

Important: AI-generated content is a draft aid only. You are responsible for reviewing and approving all AI-generated content before use. Cyperi does not guarantee the accuracy of AI outputs.

Cyperi uses artificial intelligence to assist with drafting emails, preparing financial statements, and completing tax returns. You acknowledge and agree that:

  • All AI-generated content is a draft only and must be reviewed by a qualified professional before use
  • You are solely responsible for the accuracy, completeness, and compliance of any content submitted to third parties including Inland Revenue (IRD)
  • AI features are not a substitute for professional accounting judgment
  • Cyperi is not liable for any errors, omissions, or inaccuracies in AI-generated content that you have approved and used
  • You must comply with all applicable professional standards including those set by Chartered Accountants Australia New Zealand (CA ANZ)

7. Electronic signatures

Cyperi's e-signature functionality creates electronic signatures that are legally valid in New Zealand under the Contract and Commercial Law Act 2017 (CCLA 2017), provided the parties intend to be bound and the signature reliably identifies the signatory.

By using Cyperi's e-signature feature you agree that:

  • Electronic signatures created through Cyperi are intended to be legally binding
  • You are responsible for ensuring that the use of electronic signatures is appropriate for each document and transaction
  • Certain documents may require wet signatures or notarisation by law — you should seek independent legal advice where uncertain
  • Cyperi maintains an audit trail of all signature events including timestamp and IP address

8. Acceptable use

You agree not to use Cyperi to:

  • Violate any applicable New Zealand or international law
  • Process data relating to persons under 16 years of age without appropriate consent
  • Upload malicious software, viruses, or harmful code
  • Attempt to gain unauthorised access to any part of the Platform
  • Use the Platform in any way that could damage, disable, or impair it
  • Resell or sublicense access to the Platform without our written consent
  • Use AI features to generate false, misleading, or fraudulent documents

9. Intellectual property

The Cyperi Platform, including all software, designs, trademarks, and content (excluding your data), is owned by Cyperi Limited. You receive a limited, non-exclusive, non-transferable licence to use the Platform during your subscription period.

You retain all intellectual property rights in your data and content. By using Cyperi you grant us a limited licence to process your data for the sole purpose of providing the Platform services.

10. Liability and warranties

No guarantee of results

The Platform is provided "as is". We do not warrant that the Platform will be error-free, uninterrupted, or meet your specific requirements.

Limitation of liability

To the maximum extent permitted by law, Cyperi's total liability to you for any claims arising from your use of the Platform is limited to the total fees you paid to us in the 12 months preceding the claim.

We are not liable for any indirect, incidental, special, consequential, or punitive damages including loss of profits, loss of data, or business interruption.

Consumer Guarantees Act

Nothing in these Terms limits any rights you may have under the Consumer Guarantees Act 1993 or Fair Trading Act 1986 that cannot be excluded by agreement.

11. Termination

You may cancel your Cyperi subscription at any time from your account settings. Cancellation takes effect at the end of your current billing period.

We may suspend or terminate your account immediately if you breach these Terms, fail to pay fees, or if we are required to do so by law. We will endeavour to provide notice before termination where practicable.

12. Governing law

These Terms are governed by the laws of New Zealand. Any disputes will be resolved in the New Zealand courts. Both parties submit to the exclusive jurisdiction of the New Zealand courts.

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
